Terms of Service

These Terms of Service ("Terms") govern access to and use of the website, platform, and virtual-professional staffing and support services (collectively, the "Services") provided by Momentum VA ("Momentum VA," "we," "us," or "our"). By accessing our website, submitting an application, submitting a client inquiry, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who These Terms Apply To

These Terms apply to everyone who interacts with the Services, including business clients ("Clients"), virtual assistants and other contracted professionals ("VAs"), job applicants ("Applicants"), and internal staff ("Employees"). Certain sections apply only to a specific category of user, as noted.

2. Description of Services

Momentum VA matches Clients with trained virtual professionals and provides supporting tools — including scheduling, time tracking, invoicing, messaging, document management, and AI-assisted workflows — to help deliver and manage that work. We may add, modify, or discontinue features of the Services at any time.

3. Accounts and Eligibility

  • You must be at least 18 years old to use the Services.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You agree to provide accurate, current information when creating an account or submitting an application or inquiry, and to keep that information up to date.
  • We may suspend or terminate accounts that we reasonably believe involve inaccurate information, fraud, or a violation of these Terms.

4. Clients

Clients engage Momentum VA to be matched with and supported by a VA. By engaging our Services, Clients agree to:

  • Provide lawful work assignments and a safe, professional working relationship with assigned VAs.
  • Pay all fees, invoices, and applicable charges on the schedule and via the payment method on file (see Section 7, Payments and Billing).
  • Not attempt to directly hire, contract with, or solicit a VA introduced through Momentum VA outside of the platform during the engagement and for a reasonable period afterward, except as separately agreed with Momentum VA in writing.
  • Comply with all applicable laws in their use of VA labor, including with respect to the type of work assigned.

5. VAs and Applicants — Independent Contractor Relationship

VAs engaged through Momentum VA are independent contractors, not employees of Momentum VA or of any Client, unless a separate written agreement expressly states otherwise. Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between Momentum VA and any VA, or between a Client and any VA.

Applicants who submit an application acknowledge that submitting an application does not guarantee an interview, assessment, or offer of engagement, and that any assessment, interview, or reference-check information collected may be used to evaluate fit for available roles.

6. Employees

Internal staff (recruiters, trainers, operations personnel, and administrators) accessing the internal admin platform must use it only for legitimate business purposes, keep client and VA information confidential in accordance with our internal policies, and comply with any separate employment or contractor agreement governing their role.

7. Payments and Billing

  • Client payments are processed through Stripe, a third-party payment processor. By providing payment information, you authorize Momentum VA to charge the payment method on file for fees owed, including recurring or usage-based invoices, on the schedule disclosed to you at the time of engagement.
  • Momentum VA does not store full payment card numbers; card data is handled directly by Stripe in accordance with its own terms and security standards.
  • Late or failed payments may result in suspension of Services, including pausing VA support, until the account is brought current.
  • VA payroll and any bonus payments are processed according to the payment terms disclosed to VAs separately and are contingent on accurate time reporting.
  • All fees are non-refundable except where required by law or expressly stated otherwise in a separate written agreement.

8. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or harassing purpose.
  • Attempt to gain unauthorized access to accounts, systems, or data belonging to other users or to Momentum VA.
  • Upload malicious code or interfere with the normal operation of the Services.
  • Misrepresent your identity, qualifications, or authority to act on behalf of a business.
  • Scrape, reverse-engineer, or resell access to the Services without our written consent.

9. Confidentiality

In the course of using the Services, Clients, VAs, and Employees may have access to confidential business information belonging to one another (for example, client business details shared with a VA, or applicant information reviewed by staff). All parties agree to keep such information confidential, use it only for the purposes of the engagement, and not disclose it to unauthorized third parties.

10. Intellectual Property

The Momentum VA name, logo, website, and platform (including its design, software, and content, excluding content you submit) are owned by Momentum VA or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks or branding without prior written permission.

11. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or that any particular business outcome will result from use of the Services.

12. Limitation of Liability

To the fullest extent permitted by law, Momentum VA and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Services, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Momentum VA in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Momentum VA and its officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, misuse of the Services, or violation of any law or third-party right.

14. Termination

We may suspend or terminate access to the Services at any time, with or without cause, including for violation of these Terms. Clients and VAs may terminate an engagement in accordance with the terms disclosed at the time of engagement. Sections that by their nature should survive termination (including Confidentiality, Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of [Your State/Jurisdiction], without regard to its conflict-of-laws principles, unless otherwise required by applicable law.
